Terms and Conditions

1. Scope

These Terms and Conditions apply to all business relationships between Moritz Serif (the "Provider") and business customers within the meaning of Section 14 of the German Civil Code (BGB) (the "Client"). Deviating terms of the Client only become part of the contract if the Provider expressly agrees to them in writing.

2. Conclusion of contract

The contract is concluded when the Client confirms the Provider's offer in writing, by email or by expressly accepting the service. Acceptance takes place in particular when the Client uses the agreed service without objection.

3. Services

The Provider delivers services in search engine optimisation for publishers (publisher SEO). These include in particular SEO consulting for publishers, optimisation for Google Discover and Google News, republishing and evergreen strategies, and newsroom training and seminars. The exact scope of services follows from the respective offer. Supplementary or deviating agreements must be made in writing.

4. Prices and payment terms

  • All prices are exclusive of statutory VAT at the applicable rate.
  • Invoices are payable within 14 days of the invoice date without deduction, unless agreed otherwise.
  • In the event of late payment, the Provider is entitled to charge default interest of 9 percentage points above the base rate (Section 288 (2) BGB).
  • The Provider reserves the right to request interim invoices or advance payments.

5. Liability

The Provider is liable without limitation for:

  • Intentional or grossly negligent conduct
  • Damage resulting from injury to life, body or health
  • Claims under the German Product Liability Act
  • Guarantees given by the Provider

In cases of simple negligence: Liability is limited to the breach of essential contractual obligations (cardinal obligations). Damages are limited to the typical, foreseeable loss.

Liability for lost profit, indirect damage or consequential damage is excluded, unless intent or gross negligence applies.

6. Term and termination

  • The term of the contract and notice periods follow from the respective individual contract.
  • The right to extraordinary termination for good cause remains unaffected.
  • Notices of termination must be given in writing.

7. Data protection

The Provider undertakes to comply with statutory data protection regulations. Further information is available in our privacy policy.

8. Final provisions

Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected. The law of the Federal Republic of Germany applies. The place of jurisdiction is Ludwigshafen am Rhein, provided the Client is a merchant. This English translation is provided for information only; the German version is legally binding.
